The following Terms and Conditions are supplemental to our Terms of Service and apply to the Tari airdrop program (the “Program”) facilitated by Tari Labs. Our Terms of Use are incorporated here by reference. Capitalized terms not defined in these Terms and Conditions have the meanings set forth in our Terms of Service. You agree that you have read, understood, and agree to be bound by the Terms of Service and these Tari Airdrop Program Terms and Conditions.
We may change these Terms and Conditions from time to time. If we make changes, we will notify you by revising the date at the top of these Terms and Conditions and, in some cases, we may provide you with additional notice (such as adding a statement to our website or sending you a notification). We encourage you to review these Terms and Conditions regularly to stay informed about our practices and procedures.
Program Overview. The Program includes a points system designed to reward engaged Yat users and Tari enthusiasts. You can earn points through completing specified actions (“Eligibility Missions”) as may be designated by Tari Labs from time to time. Participants earn points in the form of XP, Turtle Shells and Glowing Stars. Your points may be converted to Tari ($XTM) during the Airdrop claim period (as shall be determined by Tari Labs). Tari Labs reserves the right to modify all aspects of the Program, including but not limited to the points earning methods, reward calculations, and rewards and benefits offered. These modifications may occur without any prior notice or consent from participants.
Program Duration. The Program shall commence on May 9, 2024 and shall end at a date and time to be determined by Tari Labs.
Points Visibility and Ranking. Tari Labs maintains a leaderboard for all airdrop participants. To view your points and check your ranking, you must login to your account on the Program website.
Eligibility. All eligible participants (“Participants”) must comply with all Terms and Conditions set forth herein. (A) The airdrop is open to persons who, on the date of entry, are at least 13 years of age or older. (B) You acknowledge and agree that you will not be eligible to participate in the Program if (1) our geo-location controls detect that you may be located in a country or region that (a) is subject to a U.S. government embargo, (b) has been designated by the U.S. government as a “terrorist supporting” country, (c) is subject to heightened sanctions risks identified or enforced by certain countries, governments, or international authorities, or (d) is otherwise considered high risk with respect to the Airdrop, or (2) you are listed on any U.S. government list of prohibited or restricted parties.
Use of Automated Means Prohibited. The use of automated means to participate in the Program is strictly prohibited. Tari Labs reserves the right to disqualify any individual who it, in its sole discretion, determines to have used bots, scripts, macros or other automated means in participating in the Program.
No Obligation. Tari Labs has no obligation to provide any rewards or benefits in connection with the Program, even if participants have accrued a certain amount of points. Tari Labs reserves the right to withhold or revoke rewards without consequences.
Points Program. Program points do not have a market value and are not tradeable. Program points are solely intended for the purposes of the Program and cannot be exchanged or transferred to other users or platforms.
No Third Party Sponsor. This Program is in no way sponsored, endorsed, or administered by, or in association with any person or other entity, including any third party, other than Tari Labs. 1. Neither Twitter nor any other social media site (collectively, “Social Media Sites”) are sponsors, endorsers, or affiliated in any way with the Program. All questions regarding the Program must be directed to Tari Labs, not any Social Media Site. You agree as a condition of participating in the Program that you shall release Social Media Sites from any and all liability arising out of or relating to your participation in the Program.
Additional Terms and Conditions. The decisions made by Tari Labs management regarding, but not limited to, eligibility, Eligibility Missions, points, scoring, and compliance with Tari Labs’s standards of conduct are final. No correspondence will be entered into. Tari Labs reserves the right to make reasonable changes to these terms, (a) to ensure the fairness of the Program, and (b) in response to unanticipated developments (such as technical failures, errors, acts of God, natural disasters, terrorism, and changes in applicable law.
Choice of Law and Disputes. Disputes shall be subject to the provisions in Tari Labs’s Terms of Service, which are hereby incorporated by reference, including the binding arbitration clause and a class action waiver contained therein. YOU SHOULD REVIEW THESE TERMS CAREFULLY, AS THEY MAY AFFECT YOUR LEGAL RIGHTS.
Conditions of Participation and Limitations of Liability. By participating, you hereby release, hold harmless, covenant not to sue, and forever discharge Tari Labs, its respective parent companies, affiliates, subsidiaries, retailers, divisions, dealers, advertising and promotion agencies, and all others associated with the development and execution of the Program, and each of its and their directors, employees, officers, and agents from and against any and all third-party claims, actions, damages, losses, liabilities, costs, expenses, injuries, or causes of action of any kind that in any way now or hereinafter may arise from or relate to the Program, including without limitation, the administration of the Program, such as typographical, printing, seeding, human or other errors relating to or in connection with the Program and/or the processing and scoring of point. Tari Labs reserves the right at its sole discretion to disqualify any individual (i) who is found to be acting in violation of these Terms and Conditions, (ii) who is found to be acting in an unsportsmanlike or disruptive manner, with the intent to disrupt or undermine the legitimate operation of the Program, or with the intent to annoy, abuse, threaten or harass any other person, or (iii) whom Tari Labs otherwise determines, in its sole discretion, shall not be eligible to participate for any reason or no reason at all. Without limiting the foregoing, in the event Tari Labs is prevented from continuing with the Program as contemplated by any event beyond its control, including, without limitation, a force majeure, fire, flood, epidemic or other national health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared,) or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, public health crisis, or other cause not reasonably within its control, then Tari Labs shall also have the right to modify, suspend, extend or terminate the Program. In the event that the Program is terminated, canceled, or postponed for any reason whatsoever, Tari Labs shall have no obligation to distribute rewards or benefits to participants. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE TARI LABS’ WEBSITE(S) OR UNDERMINE THE LEGITIMATE OPERATION OF A CONTEST OFFERED BY Tari Labs IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
Severability. In the event that any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions.
